Referral Program Terms and Conditions

Thank you for your interest in Mark The Spot's Referral Program ("Program"). By participating in the Program, you agree to comply with these Terms and Conditions ("ToS").

Mark The Spot reserves the right to modify or terminate the Program at any time without notice.

Referral Eligibility Criteria:

​

To qualify for the referral reward of £100.00, the referrer must adhere to the following conditions:

1. The referrer must submit a successful referral according to the guidelines outlined herein.

2. The referred individual ("Referee") must sign a Qualified Membership agreement with one of our partners, facilitated through Mark The Spot, within 90 days from the date of Referral Submission.

3. The Referee must enter into a Qualified Membership with a controlled affiliate of Mark The Spot.

4. The Referee must not currently or previously be a member of an office provider offered by Mark The Spot.

5. The Referee must not have been previously contacted by Mark The Spot for membership or attended a promotional event.

6. The Referee must not be an entity of which the Referrer is a partner or holds a controlling interest.

7. The Referee must enter into and maintain a membership agreement for a minimum of 180 days.

8. Referrals must be submitted via the website or email. A successful referral occurs when a referred individual signs up for office space through Mark The Spot's brokerage services, committing to a minimum of 12 months.

Payment Terms:

1. All earned Fees will be paid to the Referrer via Wire Transfer or a gift voucher of their choice, subject to applicable tax-related deductions and withholdings. This will take place following the Referral Eligibility Criteria, specifically section 7 & 8. 

2. Payments will be made in British Pound Sterling.

Payment Disputes:

1. Any disputes regarding Fees or other payment amounts must be communicated in writing to referrals@markthespot.com within five (5) business days of payment receipt. Failure to do so will waive any disputes related to the payment.

Overpayments to Referrer:

​

1. In the event of overpayment to the Referrer due to calculation errors, unaccounted-for deductions, or any other reason, the Referrer must promptly repay Mark The Spot the overpaid amount as determined by Mark The Spot.

2. Failure to promptly return overpaid amounts may result in offsetting such amounts from future payments to the Referrer and potential suspension or disqualification from the Referral Program, at Mark The Spot's sole discretion.

Notification:

Referrers will receive email notifications upon referral acceptance and completion of the 180-day period.

​

Program Duration:

The Program runs from March 15th to June 15th.

​

Governing Law:

The Program is governed by the laws of the United Kingdom.

​

Modifications:

Mark The Spot reserves the right to modify the Program's Terms and Conditions with notice to participants.

DISQUALIFICATIONS

A Referrer may be disqualified from the Referral Program for reasons including, but not limited to:

​

• Submitting false leads;

• Providing incorrect information;

• Misrepresenting that the Referrer has a relationship with a Potential Referee;

• Referring a person or entity that is specifically excluded from being a Qualified Referral under these Program ToS;

• Participating in or having any involvement in criminal or fraudulent activities; or

• Failing to comply with or breaching these Program ToS.

A disqualified Referrer is not eligible to participate in the Referral Program and shall not be entitled to Fees or other benefits hereunder unless Mark The Spot specifically revokes such disqualification in its sole discretion.

All disqualifications are determined at Mark The Spot's sole discretion. In addition to being disqualified from the Referral Program, Mark The Spot may seek all rights and remedies available in equity or at law.

These Terms and Conditions constitute the entire agreement between the parties concerning the Program and supersede any prior agreements or understandings.

Mark The Spot reserves the right to interpret and enforce these terms as necessary. Participation in the Program implies acceptance of these Terms and Conditions.

Warranty Disclaimer

Mark The Spot makes no warranties to Referrer or any Potential Referee, express or implied, and hereby specifically disclaims all implied warranties of merchantability, non-infringement, and fitness for a particular purpose, and all warranties arising out of usage of trade, course of dealing, and course of performance.

Indemnification

You will defend, indemnify, and hold harmless the Mark The Spot Parties from and against any claim, cause of action, demand, suit, proceeding, damages, liabilities, loss, or costs, including without limitation, reasonable attorney fees, made or brought against the Mark The Spot Parties arising out of:

• Your participation in the Referral Program,

• Any breaches of your representations, warranties, or obligations hereunder, or

• The negligence or willful misconduct of you or your employees, representatives, or agents.

• Mark The Spot will notify Referrer of any claims as soon as reasonably practicable.

Limitation of Liability

Mark The Spot will not be liable or obligated with respect to any subject matter of these Program ToS or otherwise related to the Referral Program or under any contract, tort, strict liability, or other legal or equitable theory, whether or not advised of the possibility of such damages whatsoever, for any special, indirect, incidental, exemplary, punitive, reliance, or consequential damages, or loss of profits, revenue, data, or use. Mark The Spot’s liability shall not exceed the fees payable by Mark The Spot to Referrer for an applicable referral during the 6 months prior to the event giving rise to such liability.

Incorporation of Company Terms and Conditions

By participating in the Referral Program, both the Referrer and Potential Referee acknowledge and agree that Mark The Spot's Terms and Conditions (T&C) also apply. It is the responsibility of both parties to read and understand the company's T&C before continuing with the Referral Program. The company's T&C can be found on Mark The Spot's official website or provided upon request. Participation in the Referral Program implies acceptance of both these Program ToS and the company's T&C.
